    1. Introduction and acceptance

    Welcome to Neura. These Terms of Service ("Terms") govern your use of the Neura app, website, and related services (collectively, "Neura" or the "Service"), operated by Neura Parent LLC ("we," "us," "our"), a Connecticut limited liability company.

    By creating an account or using Neura, you agree to these Terms. If you do not agree, do not use the Service.

    These Terms incorporate our Privacy Policy by reference.

    The Service is available in the United States, Canada, Australia, the United Kingdom, and the European Economic Area.

    2. Eligibility

    You must be at least 18 years old and the parent or legal guardian of any child you create a profile for in the Service. By creating an account, you represent that:

    • You are a legal adult in your jurisdiction
    • You are the parent or legal guardian of any child whose information you enter
    • You have the right and authority to consent on behalf of that child to the processing of their information as described in our Privacy Policy

    Children do not create accounts. Neura is designed to be used by parents and guardians. Children are not direct users of the Service.

    If we learn that an account has been created by someone under 18 or that information has been provided about a child without proper parental or guardian authority, we will close that account and delete the associated data.

    3. Account responsibilities

    You are responsible for:

    • Maintaining the confidentiality of your account credentials
    • All activity that occurs under your account
    • Providing accurate information
    • Notifying us promptly at support@neuraparent.com if you suspect unauthorized access

    4. Subscription terms

    4.1 Free trial

    When you create an account, you receive a 14-day free trial with full access to all features. No payment information is required at signup.

    4.2 What happens when the trial ends

    At the end of your 14-day trial, your account does not automatically convert to a paid plan. We do not collect payment information at signup, so you will not be charged when the trial ends.

    If you have not provided payment information by the end of the trial, your account is locked. While locked:

    • You can view your existing check-ins, AI responses, child profile, and insights — your data remains accessible to you in read-only form
    • You cannot create new check-ins, receive new AI responses, or use other features that require an active subscription
    • Your data is preserved for 365 days from the date your account was locked (see section 4.8)
    • You can unlock the account at any time within that 365-day window by providing payment information and choosing a paid plan

    4.3 Pricing

    The subscription price applicable to you depends on (a) when you first subscribe (which determines your pricing tier — see §4.3.1) and (b) the currency you subscribe in (determined by your location at the moment you reach the subscription screen). The exact price in your currency is displayed in-app immediately before you authorize your subscription, and that displayed price is what you authorize us, via Stripe, to charge.

    Prices are exclusive of any applicable sales tax, VAT, or other taxes, which are added at checkout where required.

    The currency at the moment of subscription is the currency you will be charged in for as long as your subscription remains continuously active.

    4.3.1 Pricing tiers

    Neura offers three pricing tiers, determined by when you first subscribe:

    (a) Founding member. Available to users who created a free Neura account before June 1, 2026. US pricing: $9.99/month or $79.99/year. Founding-member pricing applies for as long as you maintain (or return to) a paid subscription — see §4.3.2.

    (b) Early adopter. Available to users who first subscribe to a paid plan between June 1, 2026 and July 31, 2026.

    • Monthly plan: $9.99 USD for the first three monthly billing cycles, then the standard monthly rate (currently $12.99 USD) from the fourth billing cycle onward.
    • Annual plan: $79.99 USD for the first year, then the standard annual rate (currently $99.99 USD) at your first renewal and onward.

    (c) Standard. Applies to users who first subscribe to a paid plan on or after August 1, 2026. US pricing: $12.99/month or $99.99/year.

    International prices in your local currency are displayed in-app and may differ from USD amounts. The structure of the tiers — and the discount and grandfathering rules described below — apply across all currencies.

    4.3.2 Keeping your tier across cancellation

    • Founding members keep their tier indefinitely. If you cancel and later resubscribe, you return to founding-member pricing.
    • Early adopters keep their tier if they cancel during the discounted period and resubscribe before the discount would have otherwise expired (for monthly, before the end of the third billing cycle; for annual, before the end of the first year). If you cancel after the discount period has ended — i.e., once you have moved to standard rates — and later resubscribe, you re-enter as a standard subscriber at the standard rate then in effect.
    • Standard subscribers always pay the standard rate in effect at the time they subscribe.

    4.3.3 Future price changes

    We may change subscription prices in the future. Any price change will not apply to a billing period for which you have already been charged. If a price change will affect your future renewals, we will notify you at least 30 days in advance of the change taking effect, by email and via in-app notice.

    Founding members are guaranteed their founding-member rate even if standard rates rise. For as long as you remain on (or return to) a paid subscription as a founding member, the founding-member rate continues unchanged.

    4.4 Automatic renewal — important

    Once you are on a paid plan, your subscription renews automatically at the end of each billing period (monthly or annual) until you cancel.

    By providing payment information and starting a paid plan, you authorize us, via our payment processor Stripe, to charge your payment method:

    • The applicable subscription fee at the start of each billing period
    • Any applicable taxes
    • Until you cancel your subscription as described in section 4.6

    For annual subscriptions: we will send you a reminder by email at least 7 days before your renewal date.

    For early adopters whose discount period is ending: we will send you a reminder by email at least 7 days before your subscription renews at the standard rate (for monthly early adopters, before your fourth billing cycle; for annual early adopters, before your first renewal). The reminder will state the new rate, when it takes effect, and how to cancel.

    4.5 14-day money-back guarantee

    Within 14 days of your first paid charge, you can request a full refund for any reason by emailing support@neuraparent.com. We process refunds within 5 business days to your original payment method. When you request a refund, your subscription also cancels — no further billing.

    This 14-day refund window applies once, to your first paid subscription. It is offered globally — you do not need to be in the EU or UK to use it.

    If you are a consumer in the European Economic Area or the United Kingdom, this 14-day window satisfies your statutory right of withdrawal under the EU Consumer Rights Directive (Directive 2011/83/EU, Art. 16) and the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 — you do not need to take any additional step at sign-up to preserve this right.

    4.6 Cancellation

    You can cancel your subscription at any time:

    • In the app, via Settings → Subscription → Cancel
    • Or by emailing support@neuraparent.com

    When you cancel:

    • Your subscription remains active until the end of your current paid billing period
    • You will not be charged again
    • You can continue using the Service until the end of that period

    After your paid period ends, your account is locked and your data is retained per section 4.8.

    4.7 Refunds outside the 14-day money-back window

    After your 14-day money-back window (§4.5) has passed, we do not offer refunds for unused portions of a subscription term, except where required by applicable law.

    If you cancel mid-cycle after the 14-day window:

    • Monthly subscribers: access continues through the end of the current month; no refund for the unused days.
    • Annual subscribers: access continues through the end of the annual term; no refund for the unused months.

    4.8 Locked-account data retention

    When your trial ends without payment, or after a paid subscription ends, your account is locked (read-only — see §4.2) but your data is preserved for 365 days to allow you to return without losing your child's longitudinal history.

    • During the lockout period, you retain read-only access to your existing data
    • You will receive deletion-warning emails at day 305 and day 335 after lockout
    • You can restore full access (including the ability to create new check-ins and receive new AI responses) at any time during the 365 days by providing payment
    • After day 365, your data is permanently deleted

    You can also choose to delete your data immediately at any time, in-app or by emailing support@neuraparent.com.

    5. Acceptable use

    5.1 General rules

    You agree not to:

    • Use the Service for any unlawful purpose
    • Attempt to gain unauthorized access to our systems or other users' accounts
    • Interfere with or disrupt the Service
    • Use the Service to harm, harass, or exploit others
    • Reverse-engineer, decompile, or extract the source code of the Service
    • Use the Service to generate, share, or store content that is illegal, harmful to minors, or that infringes third-party rights
    • Resell, redistribute, or otherwise commercialize the Service without our written permission

    5.2 Rules specific to information about children

    Because Neura processes information about children, you also agree:

    • Only enter information about your own child (or a child for whom you are the legal guardian). Do not enter information about another person's child unless you have that child's parent or legal guardian's consent.
    • Do not share your account credentials with any person who should not have access to your child's information. (This is separate from the in-product share feature, which lets you share specific content under your control.)
    • Do not include identifying information about other children in your check-ins — for example, classmates by name, teachers' names, or other family members' detailed personal information. If you need to reference these people for context, use first initials or generic descriptors ("a kid in his class," "his Tuesday OT").
    • Do not attempt to use the AI to produce content that would harm a child — including content that sexualizes children, glorifies abuse or neglect, or could be used to manipulate or coerce a child.

    5.3 Safety concerns

    Neura is not a crisis or safeguarding service. We do not actively review check-in content for safety concerns. If you or your child is in immediate danger, contact emergency services or your local crisis line (in the US, call or text 988; in the UK, call 999 or Samaritans on 116 123; in Australia, call 000 or Lifeline on 13 11 14).

    If you observe behavior on the Service that you believe poses an imminent risk of harm to a child, please report it to support@neuraparent.com so we can act appropriately.

    We may suspend or limit access to the Service for accounts that violate any of these rules. See section 12 (Suspension and termination) for the process.

    6. Use of artificial intelligence — important disclaimers

    6.1 Educational and informational only

    Neura provides general educational and informational guidance. It is not medical, psychological, behavioral, or therapeutic advice, and it is not a substitute for professional clinical care.

    Always consult qualified healthcare providers for medical, psychological, or behavioral health concerns about yourself or your child.

    6.2 You are interacting with AI

    Responses in the Service are generated by an artificial intelligence system. They may contain errors, inaccuracies, omissions, or suggestions that are not appropriate for your specific situation. You are solely responsible for evaluating any guidance the AI provides before acting on it.

    6.3 Crisis safety

    Neura is not a crisis service. If you or your child is in immediate danger, contact emergency services or your local crisis line (in the US, call or text 988; in the UK, call 999 or Samaritans on 116 123).

    7. Children's safeguarding — your responsibility

    Because Neura works with information about your child:

    • You confirm that you have the legal right to share that information with us
    • You agree not to enter information about any child who is not your own without the consent of that child's parent or legal guardian
    • You acknowledge our Privacy Policy section 8, which sets out the protections we apply to children's information
    • You can delete a child's information, or your entire account, at any time

    8. Intellectual property

    8.1 Our content

    All content, features, branding, and functionality of Neura — including text, graphics, logos, designs, and software — are owned by Neura Parent LLC and are protected by intellectual property laws.

    You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent, except as permitted by these Terms or applicable law.

    8.2 Your content

    The check-ins you write, voice-input text, and other content you submit ("Your Content") remain yours.

    By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing the Service to you — including transmitting it to our AI provider to generate responses, storing it for longitudinal memory, and presenting it back to you within the app.

    This license ends when you delete Your Content or close your account (subject to retention periods in our Privacy Policy).

    We do not use Your Content to train AI models. See Privacy Policy section 6.3.

    9. Privacy

    Your use of Neura is governed by our Privacy Policy, which is incorporated into these Terms by reference.

    10. Disclaimer of warranties

    To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied — including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

    We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that AI-generated content will be accurate, complete, or suitable for any particular situation.

    Nothing in this section excludes or limits warranties that cannot be excluded under the law that applies to you — including, for UK consumers, your rights under the Consumer Rights Act 2015, and for EU consumers, your rights under applicable consumer protection law.

    11. Limitation of liability

    To the maximum extent permitted by law:

    • Neither party will be liable for indirect, incidental, special, consequential, or punitive damages
    • Our total aggregate liability for any claim arising from or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) $100 USD

    Nothing in these Terms excludes or limits liability that cannot be excluded by law, including:

    • Liability for death or personal injury caused by our negligence
    • Liability for fraud or fraudulent misrepresentation
    • For UK consumers, statutory rights under the Consumer Rights Act 2015
    • For EU consumers, statutory rights under applicable consumer protection law

    12. Suspension and termination

    12.1 By you

    You can stop using Neura at any time. To close your account, use the in-app deletion option or email support@neuraparent.com.

    12.2 By us

    We may suspend or terminate your access to the Service:

    • For material breach of these Terms (including the Acceptable Use rules in section 5), with notice and a reasonable opportunity to remedy where practicable
    • Where required by law or by an order of a competent court or regulator
    • If you have not used the Service in an extended period and the account has not been on a paid plan (see retention rules in section 4.8)
    • If we discontinue the Service generally, in which case we will give reasonable advance notice and a chance to export or delete your data

    For paid accounts, we will not terminate your account without cause during a paid billing period unless required by law. If we terminate without cause, we will refund the unused portion of the prepaid period.

    13. Indemnification

    You agree to indemnify and hold harmless Neura Parent LLC and its founders, employees, contractors, and agents from any third-party claims, damages, losses, or expenses (including reasonable legal fees) arising from:

    • Your violation of these Terms
    • Your violation of any law or third-party right
    • Your misuse of the Service

    This indemnification does not apply to claims arising from our gross negligence, willful misconduct, or to the extent prohibited by applicable consumer protection law.

    14. Modifications to these Terms

    We may update these Terms from time to time. If we make material changes, we will notify you at least 14 days in advance by email and via in-app notice. The "Effective Date" and "Last Updated" at the top of these Terms will reflect when the change takes effect.

    Your continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the updated Terms, you may cancel and close your account before the changes take effect.

    15. Dispute resolution

    15.1 Informal resolution first

    Before filing any formal claim, please contact us at support@neuraparent.com so we can try to resolve the issue informally. Most disputes can be resolved this way within 30 days.

    15.2 US and Canada users — governing law and forum

    These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Connecticut, and you consent to the personal jurisdiction of those courts.

    15.3 UK users

    These Terms are governed by the laws of England and Wales. You may bring proceedings in the courts of England and Wales or, if you are a consumer, in the courts of your country of residence.

    15.4 EU users

    If you are a consumer in the European Economic Area, the laws of your country of residence apply to the extent they provide protections you cannot waive. You may bring proceedings in the courts of your country of residence.

    15.5 Australian users

    These Terms do not exclude or modify any rights or remedies you have under the Australian Consumer Law that cannot be lawfully excluded.

    16. Severability and entire agreement

    If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neura Parent LLC regarding the Service.
